Terms of Service
1. Agreement to these terms
These Terms of Service (the "Terms") govern your access to and use of the VIR Insights website (virinsights.com) and the VIR Insights Intelligence Suite (seo.virinsights.com), together the "Services", operated by VIR Insights LLC ("VIR Insights", "we", "us", "our"), a limited liability company with its principal place of business in Chicago, Illinois.
By creating an account, submitting an inquiry form, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Services.
2. The Services
The Intelligence Suite analyzes URLs and websites you provide to produce SEO, AI-optimization, and GEO recommendations; tracks how your brand appears in AI search results and Google AI Overviews; crawls websites for technical issues; and generates reports and PDF exports. The marketing website describes our consulting services and collects inquiries.
We may add, change, or discontinue features at any time. Features shown on the marketing website that are not yet released will be marked as such.
3. Accounts
Some parts of the Services require an account. You agree to provide accurate and complete information, to keep your credentials confidential, and to notify us promptly of any unauthorized use of your account. You are responsible for all activity that occurs under your account.
4. Paid plans and billing
Paid plans are billed through our payment processor, Stripe, on the schedule shown at purchase (monthly or annual). Fees are charged in advance and are non-refundable except as required by law. If you cancel, your subscription will not renew and service continues through the end of the paid period.
We may change pricing with advance notice. Continued use of a paid plan after a price change takes effect constitutes acceptance of the new price.
5. Acceptable use
You may use the Services only for lawful purposes and in accordance with these Terms. You represent that you have the necessary rights or permission to submit, analyze, and crawl any URL, website, or content you provide to the Services.
You agree not to:
- Submit unlawful, infringing, or harmful content;
- Crawl or scan websites you do not own, manage, or have permission to analyze, in a manner that violates their terms of use or applicable law, including robots.txt directives where applicable;
- Interfere with, disrupt, or overload the Services, or attempt to gain unauthorized access to them;
- Reverse engineer, decompile, or copy the Services, or use them to build a competing product;
- Resell, sublicense, or share account access except as permitted by your plan;
- Use automated means to create accounts or scrape the Services.
We may suspend or terminate accounts that violate these rules.
6. Your content and data
You retain ownership of the content and data you submit. You grant us a limited, non-exclusive license to process your content and data as needed to provide, secure, and improve the Services.
If you connect a Google Search Console property, the Services access it under Google's Terms of Service and only with the read-only permissions you grant at connection time. You may disconnect or revoke access at any time.
7. Third-party services and AI model providers
The Services rely on third-party providers, including AI model providers, search-data providers, and measurement APIs. Content you submit, such as page text from analyzed URLs, may be processed by these providers. Details are in the Privacy Policy.
We are not responsible for third-party websites you analyze, the data sources they expose, or the terms that govern them.
8. AI-generated output
Recommendations, narratives, and reports include AI-generated content based on the data available at the time of analysis. Output is advisory and may be inaccurate, incomplete, or out of date. You are responsible for reviewing and validating output before relying on it.
We do not guarantee any particular outcome from use of the Services, including search rankings, AI citations, traffic, or revenue.
9. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any results will be accurate or reliable.
10. Limitation of liability
To the maximum extent permitted by law, VIR Insights will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data, arising out of or related to the Services.
Our total aggregate liability arising out of or related to the Services will not exceed the greater of one hundred US dollars ($100) or the fees you paid us in the twelve (12) months before the claim arose.
11. Indemnification
You agree to indemnify and hold harmless VIR Insights and its officers, employees, and agents from any claims, losses, or damages arising from your misuse of the Services, your violation of these Terms, or your submission, analysis, or crawling of websites without authorization.
12. Term and termination
These Terms apply while you use the Services. You may stop using the Services and close your account at any time by contacting us.
We may suspend or terminate your access for breach of these Terms, non-payment, or legal requirements. Sections that by their nature should survive termination, including disclaimers, limitation of liability, and indemnification, will survive.
13. Changes to these terms
We may update these Terms from time to time. Material changes will be posted with a new effective date. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
14. Governing law and disputes
These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in Cook County, Illinois, and you consent to their jurisdiction.
